Understanding the Publisher Agreement

Magazine Coalition FAQs addresses common questions from magazine publishers about the agreement with The Magazine Coalition, Inc. Our goal is to help you understand how this strategic alliance benefits you in the age of Artificial Intelligence.

This agreement allows The Magazine Coalition (TMC) to act as a collective agent for you and
other publishers. Its primary purposes are:

  • To license your magazine’s archived and ongoing content to Artificial Intelligence (AI) companies.

  • To enforce your copyrights against unauthorized use of your content by AI companies or other entities. Essentially, it’s about leveraging collective strength to negotiate better terms and protect your work more effectively than any single publisher could alone.

You are granting TMC the right to license your archived and ongoing magazine content. This includes articles, images (that you own or control the rights to), text, and other copyrightable material within your publications.

Publishers receive the majority share of revenues generated:

  • Licensing Revenue: You’ll receive a pro-rata share of 70% of the Net Sublicensing Revenue that TMC collects from AI companies.

  • Enforcement Recoveries: You’ll receive a pro-rata share of 51% of the Net Proceeds obtained from legal settlements or judgments against infringing parties, to allow us to
    recoup direct enforcement costs.
    Additionally, TMC handles all the complex negotiations, legal battles, and administrative
    work.

A robust, broader grant of rights is crucial for two main reasons:

  • Legal Standing: To effectively represent publishers in court and secure meaningful damages or settlements, TMC needs clear legal authority. Courts require a party to have “standing”—a direct and substantial interest—to bring a lawsuit. This agreement gives TMC that necessary standing to act decisively on behalf of all participating publishers and pursue infringers for the full scope of unauthorized uses.

  • Collective Bargaining Power & Market Demands: The AI industry needs large, legally vetted datasets. A comprehensive grant allows TMC to:
    • Offer AI companies a streamlined, “one-stop shop” for a powerful catalog of premium
      content.
    • Address the diverse and evolving ways AI uses content (training models, citations,
      excerpts).
    • Negotiate for premium terms and “top dollar” due to the aggregated weight of the

Coalition’s content. A piecemeal approach lacks this leverage.

“Standing” is a legal term meaning a party has a sufficient connection to and harm from a law or action to support that party’s participation in a case. In this context:

  • By granting TMC specific rights through this agreement, you give TMC the legal “standing” to sue infringers on your behalf and on behalf of the entire group of participating publishers.

  • Without this collective grant and the resulting standing, each publisher would have to pursue legal action individually, which is often prohibitively expensive and less effective. The Coalition can act powerfully for everyone.
  • Broad: It covers the wide range of content you create and the many ways AI might use it.

  • Comprehensive: It’s designed to adapt to new AI technologies and uses, ensuring your content isn’t exploited due to outdated terms.

  • Powerful: It gives TMC the clear authority to negotiate significant licensing fees and seek maximum recoveries for infringement, including statutory damages where applicable.

No. You retain full ownership of all your copyrights (as stated in Section 6.1 of the formal agreement). This agreement grants TMC a license to use and sublicense your content and to enforce your rights; it is not a transfer or assignment of your ownership.

  • Attribution: TMC will use commercially reasonable efforts to require AI companies to provide attribution to your publication when your content is used (Section 9).

  • Audit Rights: You have the right to audit TMC's relevant books and records once per year to verify royalty payments and revenue distributions (Section 10.2).
